Please read these Terms carefully. They explain the rules for using this Website, limit our liability, and describe how disputes are resolved.
Acceptance of These Terms
These Terms & Conditions (the “Terms”) govern your access to and use of the website located at https://publicshield.com (the “Website”), operated by Public Shield, Inc. (“Public Shield,” “we,” “us,” or “our”).
By accessing or using the Website, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Website. If you use the Website on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.
Eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Website. By using the Website, you represent and warrant that you meet these requirements.
Not an Emergency Service
The Website, including the “Request a Confidential Briefing” form and any email address listed on it, is not monitored as an emergency channel. Submitting a form or sending an email does not alert our monitoring center, does not dispatch law enforcement, medical, fire, or protection personnel, and does not create a duty for Public Shield to respond within any particular time.
If you or someone else is in danger, call 911 or your local emergency number immediately.
Emergency monitoring and response features are available only to clients through Public Shield products and services provided under a separate written agreement.
Informational Purpose; No Offer or Contract
The Website is provided for general informational purposes about Public Shield and its products and services. Descriptions of products, features, coverage, and capabilities are summaries; they may change without notice and are not an offer, warranty, or guarantee.
No offer, contract, or client relationship is formed by browsing the Website or by submitting a briefing request. Public Shield products and services are provided only under a separate written agreement signed by Public Shield, and the terms of that agreement govern those products and services. We may decline any request for services in our discretion.
Use of the Website and Acceptable Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal or internal business purposes. You agree not to:
- use the Website in violation of any applicable law or regulation, or in a way that infringes the rights of others;
- submit false, misleading, or impersonating information, or submit information about another person without authority to do so;
- attempt to gain unauthorized access to the Website, our servers, systems, or data, or to probe, scan, or test their vulnerability;
- interfere with or disrupt the Website, including by introducing malware, overloading our infrastructure, or circumventing security measures such as rate limits, bot protection, or encryption;
- use bots, scrapers, or other automated means to access, copy, or collect content or data from the Website, except for search engines indexing public pages in accordance with our robots.txt file;
- send spam, unsolicited promotions, or harassing, threatening, or abusive content through the Website; or
- copy, modify, distribute, sell, or create derivative works from the Website or its content, except as expressly permitted by these Terms.
Intellectual Property
The Website and its content, including text, graphics, photographs, designs, software, and the selection and arrangement of that content, are owned by or licensed to Public Shield and are protected by copyright, trademark, and other intellectual property laws.
The Public Shield name, the Public Shield Black name, the eagle-shield logo, and related names, logos, and slogans are trademarks of Public Shield, Inc. You may not use them without our prior written permission. All other trademarks on the Website are the property of their respective owners. Except for the limited license above, no rights are granted to you by implication, estoppel, or otherwise, and all rights not expressly granted are reserved.
User Submissions
When you submit a briefing request or otherwise send information to us, you represent that the information is accurate and that you have the right to provide it, including any information about another person on whose behalf you are inquiring. We handle personal information in submissions as described in our Privacy Policy.
If you send us ideas, suggestions, or feedback about the Website or our services, you agree that we may use them without restriction or compensation to you.
Third-Party Services and Links
The Website uses and may link to third-party services, including hCaptcha for bot protection, Google Analytics for analytics, social media platforms, and our client portal. Your use of the hCaptcha service is subject to the hCaptcha Privacy Policy and hCaptcha Terms of Service.
We do not control and are not responsible for third-party websites or services, their content, or their practices. A link does not imply our endorsement. Your use of third-party services is at your own risk and subject to their terms.
Disclaimers
THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. TO THE FULLEST EXTENT PERMITTED BY LAW, PUBLIC SHIELD DISCLAIMS ALL SUCH WARRANTIES.
Without limiting the foregoing, we do not warrant that the Website will be uninterrupted, secure, or error-free, or that the content is complete or current. No security product, service, or website can eliminate all risk, and nothing on the Website is a guarantee of any particular safety, security, or response outcome. Information on the Website is not legal, security, or professional advice tailored to your circumstances.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PUBLIC SHIELD OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. This section does not limit liability that cannot be limited under applicable law, and it does not apply to Public Shield products and services, which are governed by your separate written agreement with us.
Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Public Shield and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Website, your submissions, your violation of these Terms, or your violation of any law or the rights of any third party.
Governing Law and Venue
These Terms and any dispute arising out of or relating to them or to the Website are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Subject to the dispute resolution section below, you and Public Shield agree that any legal action or proceeding arising out of or relating to these Terms or the Website will be brought exclusively in the state and federal courts located in Delaware, and each of us consents to the personal jurisdiction of and venue in those courts.
Dispute Resolution
Most concerns can be resolved quickly and informally. Before filing any claim against Public Shield relating to the Website or these Terms, you agree to first contact us at support@publicshield.com with a written description of the dispute, the relief you seek, and your contact information. We will try in good faith to resolve the dispute informally within 60 days of receiving your notice.
If the dispute is not resolved within that period, either party may bring a claim in the courts described in “Governing Law and Venue.” Nothing in this section prevents either party from seeking temporary injunctive or other equitable relief to protect its intellectual property, confidential information, or the security of the Website.
Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Changes take effect when posted, unless we state otherwise, and do not apply to disputes that arose before the change. Your continued use of the Website after revised Terms take effect means that you accept them.
Termination of Access
We may suspend or terminate your access to all or part of the Website at any time, without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive, including those relating to intellectual property, submissions, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
Severability, Entire Agreement, and No Waiver
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy, are the entire agreement between you and Public Shield regarding the Website and supersede any prior agreements regarding it. They do not replace any separate written agreement for Public Shield products or services.
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them without restriction. Section headings are for convenience only.
